• Fixed fees for defined engagements, payable according to agreed milestones
• Payment due within 30 days of invoice date unless otherwise specified
• Late payments may incur interest charges at the rate of 1.5% per month
• All fees are quoted in Hong Kong Dollars (HKD) unless otherwise stated

7. Refund Policy

Due to the nature of professional consulting services, fees are generally non-refundable once work has commenced. You agree to indemnify and hold harmless Ixalton, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these terms, or infringement of any third-party rights.

12. Termination

Either party may terminate a consulting engagement according to terms specified in the engagement letter. Generally:

• Either party may terminate with 30 days written notice
• Client remains responsible for fees for work completed prior to termination
• We may terminate immediately for breach of these terms or non-payment

13. Governing Law and Dispute Resolution

These Terms & Conditions are governed by the laws of Hong Kong. Any disputes arising from these terms or our services shall be resolved as follows:

• Parties will first attempt to resolve disputes through good faith negotiations
• If negotiations fail, disputes will be submitted to binding arbitration in Hong Kong
• The arbitration shall be conducted in English under Hong Kong arbitration rules

14. Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. Changes will be effective when posted on our website with an updated "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified terms. We encourage you to review these terms periodically.
